| 1 |
Definitions
|
In these terms, "We" means the service provider and "Client" means the customer. "Plan" means the maintenance tier the Client has selected (Brochure & Blogging, Dynamic & Lead-Gen, E-Commerce or Framework-Built). "Included Hours" means the monthly hours stated for the Plan. "Working Hours" means 9:30 AM to 7:00 PM (IST / UTC+5:30), Monday to Friday, excluding Indian public holidays and published company holidays. A "Critical Issue" means the site is down or hacked, or checkout/payment is failing. |
| 2 |
Scope of Services
|
We provide only the tasks listed for the Client’s Plan in the Task Matrix. Anything else is out of scope and quoted separately, including redesigns, new features, platform or hosting migrations, content creation, and problems caused by third-party platforms. |
| 3 |
Working Hours & Support
|
All support requests, maintenance tasks and communications are handled during Working Hours. A request received outside Working Hours is treated as received at the start of the next working period. Automated monitoring and alerts run 24/7, but a person reviews and acts on them during Working Hours, except as stated in the After-hours clause. |
| 4 |
Response Targets
|
Response targets are those in the SLA table, measured in Working Hours from when the request reaches us through the agreed channel (email, ticket or authorized channel). A response means acknowledgement and the start of triage; it is not a guarantee of resolution time, which depends on the nature of the issue and on third parties. |
| 5 |
After-Hours Support
|
Outside Working Hours, emergency support is available as an add-on at 1.5x our overage rate for Brochure & Blogging and Dynamic & Lead-Gen Plans, with Client’s prior approval. For E-Commerce and Framework-Built Plans, Critical Issues outside Working Hours are attended on a best-effort basis within the Included Hours. |
| 6 |
Included Hours & Extra Work
|
Each Plan includes the monthly hours stated in the Task Matrix. Unused Included Hours roll over for one quarter (post which they expire). Work beyond Included Hours is billed at our overage rate and needs Client’s prior written approval (email or message is sufficient). |
| 7 |
Client Responsibilities
|
The Client will give us timely access to the site, hosting, domain/DNS, code repository and third-party accounts we need; name a contact who can approve work; keep hosting, domain and licences paid and current; and tell us before anyone else changes the site, plugins or settings. Delays caused by missing access or approvals do not count against our response targets. |
| 8 |
Fees & Payment
|
Fees are payable monthly in advance. Annual plans paid upfront receive a 12% discount. Invoices are due within 7 days. Late payments attract a fee of 2.0% per month. GST and other taxes are extra. We may suspend services after written notice of non-payment. We will give 30 days’ notice before any price change. |
| 9 |
Term & Termination
|
The minimum term is 6 months, after which the Plan continues month to month. After the minimum term either party may end the agreement with 30 days’ written notice. Fees for the minimum term are non-refundable. On termination we will hand over access details and documentation, subject to payment of any dues. |
| 10 |
Backups & Data
|
We set up and monitor backups as described for the Client’s Plan. Backups depend on the hosting and storage provider, and we do not guarantee against data loss caused by hosting failures, Client-side changes or events outside our control. Restore tests are performed at the frequency stated in the Task Matrix. |
| 11 |
Uptime & Performance
|
Monitoring and alerts are not an uptime guarantee. Availability depends on the hosting provider, DNS, CDN and other third parties, and we are not responsible for outages they cause. We do not guarantee search rankings, traffic, conversions or any particular speed score. |
| 12 |
Security
|
We apply reasonable security measures but cannot guarantee a site will never be attacked or compromised. Hacked site cleanup is included or billed as stated for the Client’s Plan. The Client is responsible for strong passwords and for any breach caused by compromised Client-side credentials or by third parties given access by Client. |
| 13 |
Updates & Compatibility
|
Updates are tested on a staging site where the Plan includes one. Updates may cause incompatibilities; we may defer an update that risks breaking the site and will tell Client. Abandoned or unsupported plugins, heavily customized code and outdated server software may need extra work, billed separately with approval. We roll back to the latest good backup where needed. |
| 14 |
Third-Party Licences
|
Hosting, plugins, themes, APIs, payment gateways and similar services are governed by their own terms. Their costs are the Client’s responsibility unless the Plan states otherwise. |
| 15 |
Confidentiality & DPDP
|
Each party will keep the other’s confidential information confidential. We will handle personal data in line with applicable law, including India’s Digital Personal Data Protection Act, 2023 (DPDP). The Client remains responsible for the lawfulness of the data it collects and for the content of its privacy policy and cookie notices. |
| 16 |
Intellectual Property
|
The Client keeps ownership of its content and of code it owns. We keep ownership of our tools, scripts and know-how. Third-party software stays under its own licence. |
| 17 |
Limitation of Liability
|
We are not liable for indirect or consequential loss, including lost revenue, profit, data or goodwill. Our total liability under this agreement is limited to the fees paid in the preceding 3 months. |
| 18 |
Force Majeure
|
Neither party is liable for delay or failure caused by events beyond reasonable control, including outages of internet, power, hosting or cloud providers, natural disasters, and government actions. |
| 19 |
Governing Law & Courts
|
This agreement is governed by the laws of India; courts at Hyderabad, Telangana have exclusive jurisdiction. The parties will first try to resolve any dispute in good faith before taking legal action. |
| 20 |
Entire Agreement
|
We may update these terms with 30 days’ written notice. These terms, together with the signed Plan or proposal, are the entire agreement between the parties. |
